PUBLIC OFFER AGREEMENT
This document is an official proposal (public offer) to conclude a contract for the sale of goods and/or the provision of services under the terms set out below, addressed to an indefinite number of persons on the “DIZELMASH – KGU” website (publication address: https://icraftbee.wixsite.com/dizelmash
). If you place an order on the Site, submit a request, or pay an invoice, this constitutes your unconditional acceptance of this Offer.
1. Parties and Details
1.1. Seller/Contractor: PJSC “DIZELMASH-KGU” (Ukr. ТДВ «ДИЗЕЛЬМАШ-КГУ»), EDRPOU code: 00210996, address: 55213, Ukraine, Mykolaiv Region, Pervomaisk, 17 Haharina St., IBAN: UA903223130000026005000009973 at the Mykolaiv Branch of JSC “Ukreximbank”, Mykolaiv, MFO 322313, e-mail: dieselmash@i.ua

1.2. Buyer/Client — a legally capable natural person, sole proprietor (FOP), or legal entity that has accepted the terms of the Offer.
2. Terms and Definitions
“Site” — the website at https://icraftbee.wixsite.com/dizelmash
.
“Goods” — products, spare parts, agricultural machinery, and other tangible items offered for sale.
“Services/Works” — consulting, installation, maintenance, and other works/services provided by the Seller/Contractor.
“Order” — a duly completed request by the Buyer to purchase Goods/Services.
3. Subject of the Offer
3.1. The Seller undertakes to transfer title to the Goods and/or provide the Services to the Buyer, and the Buyer undertakes to accept and pay for them under the terms of this Offer.
3.2. The list, specifications, and configuration of the Goods/Services are determined in the relevant invoice, commercial offer, specification, or technical assignment (TOR), which forms an integral part of the contract.
4. Acceptance and Conclusion of the Contract
4.1. The contract is deemed concluded from the moment of: (a) placing an Order on the Site/via a form/e-mail; or (b) paying the invoice; or (c) signing a Specification/TOR/Acceptance Certificate — whichever occurs first.
4.2. Placing an Order implies familiarization with and consent to the Privacy Policy and this Offer.
5. Prices, Currency, Taxes
5.1. Prices are indicated in Ukrainian hryvnia (UAH), unless expressly stated otherwise in the invoice/offer.
5.2. For VAT payers, prices may be indicated with/without VAT — this is reflected in the invoice.
5.3. The Seller may change prices prior to acceptance. For confirmed Orders, the price is fixed in the issued invoice/specification.
6. Payment Procedure
6.1. Payment is made on the basis of an invoice (bank transfer to IBAN), via LiqPay, or other agreed methods.
6.2. The payment term is specified in the invoice. Late payment may result in postponement of delivery/performance timelines.
7. Delivery of Goods and Performance of Works
7.1. Delivery of Goods is carried out under EXW/FCA/DDP terms (Incoterms 2020) — as per the invoice/specification. Risk passes to the Buyer upon transfer of the Goods to the carrier/signing of outbound documents.
7.2. Delivery/performance timelines are specified in the invoice/TOR. The Seller is not liable for carrier delays or force majeure.
7.3. Provision of services/works is documented by an Acceptance Certificate.
8. Quality, Warranty, and Claims
8.1. The quality of Goods/Services complies with DSTU/TU and/or the manufacturer’s specifications/TOR.
8.2. Warranty terms are defined in the product passport/contract/invoice. The warranty does not cover consumables/wear parts and cases of improper operation/storage/installation.
8.3. Quality/completeness claims must be submitted in writing within 14 days from receipt of the Goods/completion of works, with supporting acts/photo evidence attached.
9. Returns and Exchanges
9.1. For consumers (B2C): returns are possible under the Law of Ukraine “On Consumer Rights Protection” within 14 days if the item has not been used and retains its commercial appearance/completeness (except for items non-returnable under the CMU list).
9.2. For business clients (B2B): return/exchange terms are determined individually in the invoice/contract/specification.
10. Privacy and Personal Data
10.1. Personal data is processed in accordance with the Privacy Policy published on the Site.
10.2. By sending an Order/message, the Buyer consents to the processing of their data for the purposes of performing the Offer and for communications.
11. Intellectual Property
11.1. Texts, photos, logos, drawings, specifications, and other materials posted on the Site/in documents are protected by law. Any copying/distribution without the rights holder’s written consent is prohibited.
12. Liability and Limitations
12.1. The Parties bear liability within the limits provided by the current legislation of Ukraine and this Offer.
12.2. The Seller shall not be liable for indirect losses, loss of profit, or failures of third-party services unless expressly provided for in the contract.
13. Force Majeure
13.1. The Parties are released from liability for partial/complete non-performance of obligations due to force majeure: war, terrorist acts, strikes, fires, floods, epidemics, government acts, power outages, cyberattacks, etc., that directly affected performance. The performance period is extended for the duration of the force majeure.
14. Dispute Resolution and Governing Law
14.1. Disputes shall be resolved through negotiations; failing agreement, in court under the laws of Ukraine.
15. Term of the Offer and Amendments
15.1. The Offer is effective from the date of publication on the Site and remains in force indefinitely until revoked/replaced by a new version.
15.2. The Seller may amend the terms of the Offer by publishing a new version on the Site. Amendments apply to Orders placed after publication.
